Terms of Service

Please read these Terms of Service ("Terms") carefully before using BusyBot. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you (or the company you represent, "Customer") and BusyBot, Inc. ("BusyBot", "we", "us"). By creating an account or using any part of the Service, you represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your organisation.

2. Description of Service

BusyBot provides an AI-powered customer support platform that allows you to create, configure, and embed chat widgets on your website or connect to third-party messaging channels. The Service includes the web dashboard, embeddable widget, agent inbox, API access, and any related documentation (collectively, the "Service").

3. Account Registration

To access the Service, you must:

• Create an account with accurate and complete information.
• Maintain the security of your account credentials.
• Promptly notify us of any unauthorised access or breach of security.
• Accept responsibility for all activities that occur under your account.

You may not share your account credentials with third parties, create multiple free accounts, or use the Service to compete directly with BusyBot.

4. Subscriptions and Billing

4.1 Plans and Fees

BusyBot offers Free, Starter, Growth, and Scale plans. Paid plans are billed monthly or annually in advance. All prices are in US dollars unless otherwise stated. We reserve the right to change pricing with 30 days' notice.

4.2 Free Trial

Paid plans include a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, you will be charged the applicable plan fee or your account will revert to the Free plan if you have not added a payment method.

4.3 Cancellations and Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months or unused features, except where required by applicable law.

4.4 Late Payment

If a payment fails, we will retry your card up to three times over seven days. If payment remains unsuccessful, we may downgrade or suspend your account until payment is resolved.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Transmit spam, unsolicited messages, or deceptive content.
• Infringe or misappropriate intellectual property rights of any third party.
• Distribute malware, viruses, or harmful code.
• Harass, abuse, or harm any person.
• Collect user data without valid consent or in violation of applicable privacy laws.
• Attempt to probe, scan, or test the vulnerability of our systems.
• Engage in any activity that could damage, disable, or impair the Service.

We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.

6. Your Content and Data

6.1 Ownership

You retain full ownership of all content, data, and materials you upload to the Service ("Customer Content"), including knowledge-base documents, configuration, and conversation data generated by your end-users.

6.2 Licence to BusyBot

By uploading Customer Content, you grant BusyBot a limited, non-exclusive, royalty-free licence to use, process, and store that content solely for the purpose of operating and improving the Service for your account. We will not use your Customer Content to train general-purpose AI models or share it with third parties except as described in our Privacy Policy.

6.3 Your Responsibilities

You are solely responsible for ensuring that Customer Content does not violate any applicable law and that you have obtained all necessary consents from end-users whose data is processed through the Service.

7. Intellectual Property

BusyBot and its licensors retain all intellectual property rights in the Service, including software, trademarks, logos, and documentation. These Terms do not grant you any rights to use BusyBot's name, logo, or trademarks without prior written consent.

8. Third-Party Services

The Service may integrate with or rely on third-party services (e.g., OpenAI, Stripe, Slack). Your use of such integrations is subject to those providers' terms and policies. BusyBot is not responsible for the availability or performance of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

AI-generated responses may occasionally be inaccurate or incomplete. You are responsible for reviewing AI outputs before acting on them.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUSYBOT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BUSYBOT IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless BusyBot and its affiliates from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate these Terms at any time. You may close your account via the dashboard. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if we discontinue the Service, with reasonable notice where practicable.

Upon termination, your right to use the Service ceases immediately. We will make Customer Content available for export for 30 days following termination, after which it may be deleted.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be resolved by binding arbitration in San Francisco, California, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
